This website (gummyboss.com) and its interactive 3D Packaging & Formulation Studio are owned and operated by CBD Consultancy Group B.V., trading commercially as Gummy Boss, a private limited liability company (besloten vennootschap met beperkte aansprakelijkheid) incorporated and existing under the laws of the Netherlands.

General B2B Terms & Conditions of Contract Manufacturing & Supply

2.1 Applicability & Exclusive B2B Scope

These General B2B Terms & Conditions apply to all inquiries, quotations, sample dispatches, R&D formulation agreements, purchase orders, and turnkey supply contracts between CBD Consultancy Group B.V., trading as Gummy Boss (“Manufacturer”), and any corporate entity, brand owner, or institutional buyer (“Client”). Manufacturer supplies exclusively on a business-to-business (B2B) basis. Consumer protection statutes and statutory consumer cooling-off rights (herroepingsrecht) do not apply. Any purchasing terms or general conditions proposed by Client are expressly rejected unless accepted in writing by a statutory director of Manufacturer.

2.2 Studio Estimates, Quotations & Proforma Invoices

Unit and batch prices displayed in the interactive Custom Studio (studio.html) or elsewhere on this website are indicative, non-binding B2B estimates based on prevailing European raw material and packaging indices. A binding supply contract is formed only upon issuance of a formal written Proforma Invoice & Master Batch Specification Sheet by Manufacturer and countersignature plus deposit settlement by Client.

2.3 Minimum Order Quantities (MOQ) & Industrial Yield Tolerance (±5%)

Standard MOQ is 3,000 units per SKU across all five packaging formats (Stand-Up Pouch, Supplement Jar, Paper Cylinder Tube, Metal Tin Can, and Retail Paper Box) for our 20 stock EU formulations, and 5,000 units per SKU for bespoke R&D formulations. In accordance with European nutraceutical manufacturing customs, continuous starchless pectin depositing and automated filling runs are subject to an operational yield tolerance of ±5%. Final balance invoicing reflects the actual net released unit count within this tolerance.

2.4 Payment Milestones & Boss Sample Box Credit

• Production Milestones: Unless agreed otherwise in writing, all turnkey production orders are settled 50% upon Proforma Invoice & Print Dieline Sign-Off (to lock raw actives, packaging print cylinders, and line scheduling) and 50% upon issuance of the passing ISO/IEC 17025 Certificate of Analysis (Eurofins / SGS) prior to Ex-Works pallet release.
• Sample Kit Credit: The €49 Boss Sample Box fee is 100% credited against the Client’s first commercial production order of at least 3,000 units placed within 90 calendar days of sample dispatch.
• Retention of Title (Eigendomsvoorbehoud): Pursuant to Article 3:92 of the Dutch Civil Code (BW), legal title to all manufactured goods, printed packaging materials, and bespoke molds remains vested in Manufacturer until Client has discharged all outstanding principal and ancillary invoice obligations in full.

2.5 Delivery, Incoterms® 2020 & Transfer of Risk

Unless expressly stipulated otherwise on the Proforma Invoice, all goods are supplied EXW (Ex-Works, Incoterms® 2020) from Manufacturer’s designated European production or logistics facility. Estimated lead times (typically 4 to 6 weeks from final artwork and deposit clearance for stock formulas) are commercial targets; minor scheduling variances caused by third-party laboratory turnaround or raw material customs clearance shall not entitle Client to cancel an in-progress batch.

2.6 Limitation of Liability & Force Majeure

Manufacturer’s aggregate liability for any proven batch defect or breach of contract is strictly capped at the net invoice value of the non-conforming batch (or, at Manufacturer’s election, free-of-charge replacement production of the affected batch). Manufacturer shall under no circumstances be liable for indirect or consequential damages, lost retail profits, recall marketing costs, or third-party marketplace penalties.

2.7 Governing Law & Exclusive Competent Court

All legal relationships between Manufacturer and Client are governed exclusively by the laws of the Netherlands (Nederlands recht), excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Any dispute arising out of or in connection with our quotations, products, or contracts shall be submitted to the exclusive jurisdiction of the District Court of Zeeland-West-Brabant (Rechtbank Zeeland-West-Brabant, location Middelburg), The Netherlands.

Cold-Active Manufacturing Standards & ISO 17025 Release Protocol

Every production batch is manufactured on HACCP, ISO 22000, and IFS Food compliant European lines using inline post-cook active dosing (≤68°C) in buffered 100% vegan citrus pectin.

• Active Assay Acceptance Window: Released batches are verified to meet 95.0% to 115.0% of the signed Master Batch Specification label claim (or applicable pharmacopeial/compendial method precision) via HPLC-UV, LC-MS/MS, or ICP-MS at an accredited ISO/IEC 17025 third-party laboratory (Eurofins or SGS).
• Contaminants & Microbiology: Heavy metals (Pb, Cd, Hg, As) are verified against Commission Regulation (EU) 2023/915, and microbiological purity (TAMC, TYMC, absence of E. coli & Salmonella, water activity a_w ≤ 0.62) is verified per European Pharmacopoeia (Ph. Eur. 5.1.4).
• Inspection & Counter-Samples: Client shall inspect delivered pallets within 7 business days of receipt. Any claim regarding visible transport damage or batch conformity must be submitted in writing to legal@gummyboss.com within this 7-day window. Sealed reference counter-samples (retentiemonsters) retained in Manufacturer’s climate-controlled archive (20°C / 50% RH) for 24 months serve as the definitive analytical benchmark.

European Food Supplement Regulatory Allocation & EFSA Disclaimer

All scientific references, ingredient dosages, and physiological descriptors on gummyboss.com are directed exclusively at knowledgeable B2B industry professionals and do not constitute consumer advertising.

• EFSA Health Claims (Reg. EC 1924/2006 & 432/2012): Stock formulas are designed around micronutrients and botanicals with authorized Article 13.1 health claims under Commission Regulation (EU) No 432/2012 or applicable on-hold botanical claim notifications.
• Novel Food & National Botanical Lists (Reg. EU 2015/2283): Where Client commissions functional mushroom extracts, adaptogens, or bespoke active combinations, Client acknowledges that individual EU Member States maintain national notification rules, maximum daily intake limits, and botanical lists (e.g., NVWA in the Netherlands, DGCCRF in France, BVL in Germany, FAGG in Belgium).
• Food Business Operator (FBO) Responsibility: Pursuant to Article 8 of Regulation (EU) No 1169/2011 and Article 17 of Regulation (EC) No 178/2002, the brand owner or distributor under whose name or business name the finished private-label food supplement is marketed acts as the responsible Food Business Operator (FBO) for final consumer label compliance, local language translations, and national pre-market notification in each country of distribution. While Manufacturer provides a complimentary pre-print EU label check, Client’s written approval of the print proof (.PDF / .SVG Dieline) releases Manufacturer from liability for regulatory text on printed packaging.

Intellectual Property, Custom Tooling & Mutual Confidentiality (NDA)

• Client Brand Assets & Uploaded Formulas: All brand names, logos, packaging artwork, and proprietary Bills of Materials (BOM) uploaded or transmitted by Client remain the exclusive intellectual property of Client. Manufacturer treats all custom R&D briefs and uploaded formulations as confidential trade secrets protected under the Dutch Trade Secrets Protection Act (Wet bescherming bedrijfsgeheimen) and EU Directive (EU) 2016/943, and will never disclose or manufacture a Client’s proprietary custom formula for any third party.
• Manufacturer Formulations & House Molds: Manufacturer retains full intellectual property rights in its 20 stock catalog formulations, ≤68°C cold-dosing process parameters,buffered pectin matrices, and 5 house mold geometries. Where Client commissions bespoke CNC mold tooling, the custom cavity geometry is operated exclusively for Client’s production orders.

Privacy Policy & B2B Personal Data Processing Notice

6.1 Data Controller

CBD Consultancy Group B.V. (trading as Gummy Boss, KvK 71257438), Scholeksterstraat 7, 4332 CD Middelburg, The Netherlands (Email: legal@gummyboss.com), is the Data Controller (verwerkingsverantwoordelijke) under the EU General Data Protection Regulation (GDPR / AVG).

6.2 Categories of Data & Lawful Basis

We collect and process B2B contact and project data voluntarily submitted through our Sample Kit, RFQ, and Custom Studio forms: contact name, work email address, company/brand name, packaging preferences, formula specifications, and target order volume. Processing is conducted under:

• Art. 6(1)(b) GDPR: Performance of pre-contractual B2B quotations, sample dispatches, and manufacturing contracts;
• Art. 6(1)(f) GDPR: Legitimate business interest in B2B account engineering, fraud prevention, and quality traceability;
• Art. 6(1)(c) GDPR: Compliance with statutory Dutch fiscal and corporate record-keeping obligations (7-year retention under the Algemene wet inzake rijksbelastingen).

6.3 Local Browser Canvas Rendering

Brand logos (.PNG / .SVG) and label wraps uploaded into the interactive 3D Studio on studio.html are rendered client-side inside your browser’s HTML5 Canvas memory and are not stored on public servers.

6.4 Your GDPR Rights & Supervisory Authority

You have the right to request access, rectification, erasure, restriction, data portability, or objection regarding your business contact data at any time by emailing legal@gummyboss.com. You also have the right to lodge a complaint with the Dutch Data Protection Authority (Autoriteit Persoonsgegevens, autoriteitpersoonsgegevens.nl).

Zero-Tracking Architecture & Strictly Necessary Session State

gummyboss.com is built on a privacy-first B2B architecture. We do not load third-party ad networks, cross-site tracking pixels, or behavioral profiling cookies. Only strictly necessary first-party functional state (such as holding your selected Sample Box formulas and 3D Studio canvas state during your active session) is utilized, which is exempt from prior consent banners pursuant to Article 11.7a(3)(b) of the Dutch Telecommunications Act (Telecommunicatiewet).
